Solar Installation Agreement

Standard terms for all Kasot Power installations

Note: A customised version of this agreement — with your specific system details, property address, and agreed prices — will be issued to you as part of your formal quote. This page shows the standard terms that apply to all Kasot Power installations.

SOLAR INSTALLATION AGREEMENT

Kasot Integrated Services Limited ("the Company") and the Customer named in the accompanying Quote ("the Customer")

This agreement is effective upon the Customer's payment of the confirmed deposit.

1. Definitions

  • "The System" means the solar energy system specified in the Quote, including all panels, batteries, inverter, mounting hardware, wiring, and accessories.
  • "The Site" means the property address specified in the Quote.
  • "Installation" means the supply and installation of the System at the Site.
  • "Completion Date" means the date on which the System passes commissioning tests and is handed over to the Customer.

2. Scope of Work

The Company agrees to:

  1. Conduct a site survey to assess suitability and finalise system design
  2. Procure all equipment specified in the Quote
  3. Install the System at the Site using qualified engineers
  4. Commission and test the System
  5. Provide training to the Customer or their representative on system operation
  6. Issue all warranty documentation

The scope does not include:

  • Rewiring or electrical upgrades beyond what is specified in the Quote
  • Structural modifications to the property
  • Connection to the national grid (unless specifically quoted)
  • Generator integration (unless specifically quoted)

3. Customer Obligations

The Customer agrees to:

  1. Ensure safe and adequate access to the Site for the Company's team on agreed installation dates
  2. Ensure that an authorised representative is present during site survey and installation
  3. Obtain any planning permissions, landlord consents, or Estate/Facilities Management approvals required before installation commences
  4. Ensure the roof and existing electrical infrastructure are in a condition suitable to support the installation
  5. Inform the Company of any known structural, electrical, or safety issues at the Site
  6. Make payments in accordance with the Payment Schedule in the Quote

4. Payment Terms

4.1 A non-refundable deposit of 50% of the total quoted price is required to confirm the booking and authorise equipment procurement.

4.2 The balance of 50% is due upon completion of installation, before system handover. The Company reserves the right to withhold handover until full payment is received.

4.3 All prices are VAT exclusive. VAT will be added where applicable under Nigerian law.

4.4 Payment must be made to Kasot Integrated Services Limited's designated bank account as specified in the invoice. The Company is not responsible for payments made to any other account.

4.5 For international payments, the exchange rate applied is the official CBN rate on the date payment is received into the Company's account.

5. Timeline and Delivery

5.1 The installation timeline stated in the Quote is an estimate. The Company will make reasonable efforts to meet this timeline.

5.2 The Company is not liable for delays caused by: equipment supply chain disruptions; adverse weather conditions; lack of access to the Site; Customer-requested changes to scope; third-party services (electricity board, structural engineers); or force majeure events.

5.3 If a significant delay occurs (more than 4 weeks beyond the estimated installation date), either party may renegotiate the timeline. If agreement cannot be reached, the Customer may cancel and receive a refund of the deposit minus costs already incurred.

6.2 Warranties are void if the System is:

  • Tampered with, modified, or repaired by any party other than Kasot Power or an authorised service agent
  • Damaged by flooding, fire, lightning strike, or acts of God
  • Damaged by theft, vandalism, or misuse
  • Operated outside the parameters specified in the system manual

7. Performance

7.1 The Company does not guarantee specific kWh output levels, as actual performance is affected by weather, shading, dust accumulation, usage patterns, and other factors outside the Company's control.

7.2 System performance estimates provided in the Quote are based on typical meteorological data for the Site's location and are indicative only.

8. Cancellation

8.1 The Customer may cancel this agreement at any time by written notice to lightup@kasotpower.com.

8.2 If cancellation occurs before the site survey: full deposit is refunded minus a ₦25,000 administrative fee.

8.3 If cancellation occurs after the site survey but before equipment procurement: deposit refunded minus survey costs and administrative fee.

8.4 If cancellation occurs after equipment has been procured: deposit is forfeited in full to cover procurement costs.

8.5 If cancellation occurs after installation has commenced: no refund is available. The Customer is liable for the full quoted price.

9. Liability

9.1 The Company's total liability shall not exceed the total amount paid by the Customer under this agreement.

9.2 The Company is not liable for: loss of income or profits; business interruption; indirect or consequential loss; damage to the property caused by pre-existing structural or electrical defects not disclosed by the Customer.

9.3 The Company carries appropriate public liability insurance for its installation activities.

10. Data Protection

The Company will process the Customer's personal data in accordance with its Privacy Policy (kasotpower.com/privacy-policy) and the Nigeria Data Protection Act 2023.

11. Governing Law and Disputes

11.1 This agreement is governed by the laws of the Federal Republic of Nigeria.

11.2 In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to mediation under the Lagos Court of Arbitration rules before any court proceedings are commenced.

12. Entire Agreement

This agreement, together with the Quote and any written variations agreed by both parties, constitutes the entire agreement between the parties and supersedes all prior representations, negotiations, or understandings.
